1. About these terms
These terms govern the services provided by Vortex Media (“Vortex Media”, “we”, “us”) to a client (“you”). They apply alongside the specific proposal, statement of work or order form signed between us. Where a signed agreement conflicts with these terms, the signed agreement prevails.
2. Services
We provide marketing, brand, creative, technology and related consultancy services as described in the applicable proposal or statement of work. Any work outside that scope is agreed separately in writing before it begins.
3. Fees and payment
- Project fees are invoiced as set out in the proposal, typically part in advance and the balance on delivery.
- Retainer fees are invoiced monthly in advance.
- Invoices are payable within [15] days of the invoice date unless stated otherwise.
- Media spend, third-party licences, hosting and similar pass-through costs are billed at cost or paid by you directly.
- Applicable taxes, including GST, are charged in addition.
4. Your responsibilities
You agree to provide timely access to information, brand assets, approvals and accounts we reasonably need. Delays in approvals or inputs may shift agreed timelines.
5. Intellectual property
On full payment of the applicable fees, ownership of the final deliverables created specifically for you transfers to you. We retain ownership of our pre-existing tools, frameworks, templates and platform, including Vortex OS, and of any third-party materials licensed for use in the deliverables.
6. Confidentiality
Each party will keep the other party’s confidential information confidential and use it only to perform or receive the services. This obligation continues after the engagement ends.
7. Term and termination
Retainers may be terminated by either party on [30] days’ written notice. Projects may be terminated for material breach that is not remedied within [15] days of written notice. On termination you remain liable for fees for work performed and committed third-party costs.
8. Warranties and liability
We will perform the services with reasonable skill and care. We do not guarantee any specific commercial result, ranking, reach or revenue outcome. To the maximum extent permitted by law, our total aggregate liability is limited to the fees paid by you for the services in the [three] months preceding the claim, and neither party is liable for indirect or consequential loss.
9. Governing law
These terms are governed by the laws of India, and the courts at [Valsad, Gujarat] have exclusive jurisdiction.
